Noreen is a Senior Associate in the Corporate Commercial Department. She specialises in general corporate commercial law and mergers and acquisitions in various sectors, including the mining, agricultural, property development, energy, financial and manufacturing sectors.

She completed her Bachelor of Accounting and Bachelor of Laws (BAccLLB) degree from the University of Stellenbosch in 2020 and proceeded to complete her articles at Hayes Incorporated in Cape Town in 2022. Noreen was admitted as an attorney of the High Court of South Africa in April 2023.

Noreen’s experience includes:

• Drafting and reviewing sale of shares agreements, performing legal due diligences and performing various supporting duties on share acquisition transactions;

• Drafting and reviewing loan agreements and security agreements;

• Drafting and reviewing various types of contractual arrangements, including sale of mining right agreements, joint venture agreements, service level agreements, offtake agreements and contract mining agreements;

• Drafting and reviewing Memoranda of Incorporation and shareholders agreements, as well as assisting clients with the incorporation of new entities;

• Drafting and reviewing trust deeds, assisting with the registration and deregistration of trusts and providing other supporting legal advice in respect of general trust administration;

• Providing legal advice in respect of general corporate governance matters;

• Advising on legal issues, by performing detailed research and preparing legal opinions on corporate and commercial law issues; and

• Assisting with commercial litigation and arbitration proceedings in relation to commercial law disputes.
