Nel is a senior attorney and notary within NSDV Law’s Corporate Commercial Department who offers over 16 years’ professional legal experience gained in top tier and respected legal firms. She is dual-qualified in South Africa and Australia (New South Wales) and earned her LLB and LLM degrees (both cum laude) from the University of Pretoria.

She obtained a Higher Diploma in Tax Law from the University of Johannesburg and successfully completed the University of Witwatersrand’s Broad-Based Black Economic Empowerment Management Development Programme.

Nel plays a pivotal role as strategic legal partner and advisor to corporate and government clients across various industries including agriculture, mining, energy, media and technology, finance, construction, engineering, real estate, health, and transport.

Nel’s experience includes:

  • Overseeing and managing various workstreams in transactions and working with all relevant stakeholders throughout all phases of a transaction.
  • Managing legal processes on corporate restructuring, mergers, and acquisitions.
  • Conducting and managing high profile due diligence investigations of target companies, subsidiaries, and affiliated companies (reviewing documents, preparing due diligence reports and executive summaries identifying commercial risks for potential transactions).
  • Drafting, reviewing and negotiating commercial agreements including sale of shares agreements, sale of business agreements, shareholders’ agreements, association agreements, joint venture agreements, sale agreements, subscription agreements, security agreements, lease agreements, confidentiality and non-disclosure agreements, service level agreements, consultancy agreements, supplier agreements, distributor agreements, consignment stock agreement, licence agreements, software as a service agreements.
  • Drafting and reviewing various corporate governance and constitutional documentation, including memoranda of incorporation, board charters, board committee terms of reference, board and shareholder resolutions, notices, agendas, minutes of meetings, securities registers, share certificates, share transfer forms.
  • Proficiently delivering fiduciary services which includes trust creations, drafting trust deeds and deeds of amendment, attending to amendment of trustees, advising trustees in respect of their powers and duties, acting as independent trustee.
  • Assisting with estate planning which includes drafting of wills, codicils, and letters of wishes, advising executors and administrators of deceased estates.
  • Commercial litigation which includes instituting and defending litigious matters in the High Court and the Magistrates’ Court, drafting settlement agreements, attending taxations of legal costs.
